From utility-scale solar, wind and storage to transmission, electricity trading and energy efficiency, we advise governments, developers, investors, offtakers and lenders on the legal, regulatory and commercial structure of energy projects. We work across the full project lifecycle, from market reform and procurement design to contract negotiation, financial close and delivery.

Electricity generation and IPP procurement

Regulatory guidance, project structuring and procurement and construction support for solar PV and CSP, wind, hydro and storage projects, with a clear grasp of project-finance bankability.

  • Appointed through the UK-PACT programme to develop a manual and guideline for South African municipalities to procure electricity from independent power producers, taking the lead in drafting the Municipal IPP Manual, including its legal chapters, and preparing a Detailed Guideline for the Drafting of Power Purchase Agreements (2024–2025).
  • Appointed by the preferred bidder to support all regulatory and government agreements on three projects shortlisted under the Risk Mitigation Independent Power Producer Procurement Programme (SA Department of Mineral Resources and Energy).
  • Appointed by an IPP to advise on all regulatory and contractual aspects of the generation and sale of electricity through a PPA to a South African municipality.
  • Appointed by USAID’s implementing agent, Abt Associates, on the Health Electrification and Telecommunications Alliance (HETA), which seeks to provide off-grid electricity and water solutions to 10,000 clinics across Africa.
  • Advised a large residential estate, as offtaker, in negotiating a power purchase agreement for a solar PV and battery energy storage (BESS) facility located at the offtaker’s premises (2026).

Transmission, distribution and metering

Advice to independent transmission producers and other stakeholders on licensing, procurement, transmission services agreements and financing, through to implementation after financial close.

  • Appointed by the African Development Bank as the legal expert in the Genesis Analytics team to advise the SA National Treasury and the Project Management Unit in the Presidency on the Just Energy Transition, in particular contracting models for expansion of transmission infrastructure through private finance, including the regulatory and licensing changes required to support the preferred model, and the retirement of the coal-powered fleet as part of the Accelerated Coal Transition (2023).
  • Advised a funder and developer on drafting and negotiating a PPP agreement with the City of Tshwane Metropolitan Municipality for the supply and operation of prepaid electricity meters, including back-office and collections infrastructure, over a 15-year term.

Electricity trading

Guidance for IPPs, traders, offtakers and new entrants on the regulatory, contractual and commercial implications of South Africa’s move to an open, traded electricity market.

Energy efficiency

Support for government institutions, ESCOs, suppliers, investors and lenders across the energy efficiency lifecycle, including procurement design and energy performance agreements.

  • Appointed by GIZ to support the Energy Efficiency in Public Buildings and Infrastructure Programme by developing a suite of template procurement documentation and template energy savings contracts (shared savings and guaranteed savings) for the procurement of energy efficiency by local authorities (2022–2023).
  • Advised GIZ on all legal and regulatory matters relating to the establishment of a partial credit guarantee vehicle with the IDC, using V-NAMA funding, to underwrite ESCOs participating in energy efficiency projects (2018).
  • Led the legal and transaction advisory team for the National Business Initiative and the Carbon Trust on the Public and Private Sector Energy Efficiency Programme, scoping financial offerings to address constraints to the implementation of energy efficiency interventions in the private sector.
